Quota by-laws adopted July 31, 2020



Quota of the Cedar Valley, Inc. is a non-profit service organization whose mission is to promote literacy, assist individuals with hearing/speech impairments and serve people in need.


The objects shall be:

To serve country and community

To promote high ethical standards

To emphasize the dignity of all people

To develop good fellowship and friendship

To advance ideals of justice and good will


Policies established by resolution:

To establish programs of service activity

1. Cops-n-Kids literacy program

2. Hearing and speech

3. People in need and service to Community


Policies defined:

1. Quota is committed to equal volunteer opportunity without regard to age, ancestry, disability, national or ethnic origin, race, religious belief, sex, sexual orientation, gender identity, marital status, political belief or veteran status.

2. The club shall not endorse or recommend a candidate for public office.

3. This club shall not become a member of other clubs but may cooperate with organizations whose objectives are similar.

4. The word Quota, the logo, any motto nor trademark shall be used by the club or members except in any manner authorized by the bylaws.

5. The club shall conform with the legality of selling chances in this city, county and state.


The fiscal year shall be June 1 through May 31. An annual audit of the books and records of the treasurer shall by made by a qualified accountant or any two members of the club designated by the board of directors.


Roberts Rules of Order, Newly Revised, shall be the parliamentary authority for all matters of procedure not specifically covered by the Certificate of incorporation.


These by-laws may be amended at any meeting of the Club by a two-thirds vote of those present and voting, provided previous notice of the proposed amendment has been given to the membership.


Quota Collect copyrighted in 1942 and read before meetings or at conclusion of meetings.

Quench in our hearts, O Lord, all fires of selfishness.

Unfold to us the joys of true friendship.

Open our minds to a better understanding of service.

Teach us the real meaning of sharing,

And help us to hold high those principles of Quota for which we stand. Amen

membership



Membership shall be held by any person willing to commit their time, talent, and resources to further Quota's service goals.

.Our Quota club, by a two-thirds vote, may act upon the recommendation of its board of directors to waive the attendance requirements and/or any part of its dues for any member who, by circumstances beyond the member's control, finds it impossible to meet those requirements.

Procedure for acceptance of new members in this Quota club shall be: Individuals identified as potential new members shall receive a statement of all obligations of membership (financial, service, and attendance, accompanied by the necessary membership form.

Membership will commence upon receipt of the completed membership form and payment of dues to the club treasurer.

A members may terminate membership by resignation in writing, providing such member is in good standing by payment of dues and other financial obligations to effective date of resignation.

Membership shall be terminated for non-payment of dues. Dues are due annually by June 1. A member will be dropped if they have not paid by June 30.

Nominations



At the January meeting, a nominating committee of three members shall be named---a chairman to be appointed by the president, one member appointed by the board who is not a member of the board and one member elected by the club. The candidates shall be presented to the club in March. Nominations may be made at this meeting from the floor.

Election of club officers shall be held at the April business meeting. A plurality vote shall elect. If there is only one candidate nominated for a given office, election by that office may be by voice vote.



Board of directors



The elected officers and directors shall constitute the board of directors. They shall: have general supervision of the affairs of the club between meetings give approval to appointments made by the president of committee chairs and members make recommendations to the club for action, and perform such other duties as the club may direct ​

The board of directors shall hold regular monthly meetings at the time and place designated by the board at the beginning of its term. Special meetings may be called by the president and shall be called at the written request of a majority of the board members.



attendance at meetings



Attendance at meetings of the board is obligatory for all Board members. If a board member misses 3 board meetings and is not excused, they can be asked to resign. Not excused means not contacting the president prior to the meeting that you will not be attending. A vacancy thus created shall be filled by a vote of the board for the unexpired term. ​



Quorum



A quorum for any meeting of the board of directors shall be five board members.
